Why is the agreement legally important?

Luxembourg’s official portal explains that a sale agreement signed by both parties is a genuine and generally definitive contract. Once the property and price are agreed, the parties may already be legally committed.

The notary subsequently checks ownership, mortgages, easements and other burdens, and draws up the authentic deed that makes the transfer enforceable against third parties.

What should the agreement identify?

  • the seller and buyer;
  • the property and cadastral references;
  • the agreed price and payment terms;
  • all conditions precedent, including financing where relevant;
  • the notary, timetable, possession and annexes.

Financing and the energy certificate

If financing is required, the clause should specify the amount, deadline, expected applications and supporting evidence. For an existing residential building without a valid energy performance certificate, the former owner must generally arrange one upon a change of ownership, subject to legal exceptions.
